Professional Terms and Conditions

Professional Terms and Conditions

Exoblanc UK Ltd

Version 1 | Prepared 12 October 2026

Effective from 12 October 2026

These terms explain how to apply for and use an Exoblanc Professional account, buy products for your business, and access professional education and marketing resources. Please read them before submitting an application or placing a business order and keep a copy for your records.

1 About us and these terms

1.1  We are Exoblanc UK Ltd, registered in England and Wales under company number 15805658. Our registered office is 121a Grenville Street, Stockport, United Kingdom, SK3 9EU. Our VAT number is GB 518 8842 53. Contact us at info@exoblanc.co.uk.

1.2  “We”, “us” and “our” mean Exoblanc UK Ltd. “You” and “your” mean the business applying for or using a Professional account, including a sole trader. Anyone applying or ordering on behalf of a business must have authority to bind that business.

1.3  These terms apply to the Exoblanc Professional Platform and purchases made wholly or mainly for a clinic, salon, training business, resale activity or other business purpose. Having a Professional account does not remove consumer rights where a purchase is genuinely made as a consumer. Our consumer terms apply to those purchases.

1.4  Read these terms with our Website Terms and Conditions, Shipping Policy and Refund Policy, available on exoblanc.co.uk. For professional accounts and business purchases, these Professional Terms take priority if there is a conflict. A specific written agreement accepted by both parties takes priority for the matters it expressly covers. Our Privacy Policy explains how we use personal information.

1.5  Separate terms may apply to a paid course, event, training partnership, ambassador arrangement or other service. We will make those terms available before you enter that arrangement. Professional account approval alone does not include these services or create a franchise, agency, employment or exclusive distribution relationship.

2 Applications and professional eligibility

2.1  Applicants must be at least 18 and provide accurate business and contact details, together with the qualification evidence requested. We may also request relevant training, insurance, identity or business documentation where reasonably needed to assess eligibility.

2.2  Applications are reviewed before professional access is activated. Submitting an application, receiving an automated acknowledgement or signing into an existing retail account does not mean your application has been approved. We will confirm approval and the access assigned to your business.

2.3  Access to particular products, courses or resources may depend on additional qualifications, training or approval. You must maintain qualifications and insurance appropriate to the treatments you perform and comply with the rules applicable to your location and practice.

2.4  Tell us promptly if your business ownership, contact details, qualifications, insurance or other eligibility information changes. We may request updated evidence and restrict access where reasonably necessary while checks are completed.

2.5  Approval confirms access to the Exoblanc benefits assigned to your account. It does not certify your competence, endorse your clinic or authorise treatments outside your qualifications, insurance or lawful scope of practice.

3 Using your account

3.1  Use the account only for the approved business. Keep sign-in details and verification codes secure. You are responsible for orders placed by your authorised users and for ensuring that staff and contractors follow the requirements relevant to their roles.

3.2  Do not transfer your account, share account benefits with another business, or use it to obtain restricted professional products for an unapproved person. Approved retailing of homecare products under section 11 is permitted.

3.3  Tell us promptly if you suspect unauthorised access, an incorrect account permission or an error in the pricing assigned to you. We may temporarily restrict access to protect the account while an issue is investigated.

4 Account benefits and stockist arrangements

4.1  Your approval confirmation, account offer or separate written agreement will explain the pricing group and benefits assigned to your business. Discounts apply only to the eligible products specified. Homecare discounts do not automatically apply to COS ampoules, devices, consumables, training or other categories.

4.2  Professional access does not by itself require an opening order or an ongoing minimum spend. Any separate stockist or partnership opening-order requirement, qualifying spend, product exclusion or continuing commitment must be expressly notified and agreed before that arrangement begins.

4.3  Selecting an interest in retailing, training partnership or ambassador activity does not grant that status or its benefits. Legacy or individually agreed benefits apply only to the accounts to which we have confirmed them in writing.

4.4  Professional prices, codes and restricted commercial information are provided for your business use. Do not publish access codes or give another business access to your trade pricing. This does not prevent you from setting or advertising your own resale prices.

4.5  We may revise future pricing, product eligibility or benefits on reasonable notice where practicable. Changes do not alter accepted orders or override an existing written commitment unless the agreement permits the change or both parties agree.

5 Placing and accepting orders

5.1  Product listings and quotations invite you to place an order. Submitting an order is an offer to buy on the terms presented before submission. Check the products, quantities, delivery details, VAT basis and total before paying.

5.2  An automated order acknowledgement confirms receipt, not acceptance. A contract is formed when we send a dispatch confirmation or otherwise expressly accept the order in writing. Where products are dispatched separately, each dispatch may form a separate contract.

5.3  Before acceptance, we may decline an order because of unavailable stock, a pricing or description error, failed payment or eligibility checks, delivery restrictions, suspected fraud or misuse. If payment has been taken for an order we decline, we will refund it promptly.

5.4  Contact us immediately to request a correction or cancellation. Changes are not guaranteed once processing or dispatch has begun. Changes to an accepted business order require our written agreement, except where you have a legal right to cancel or terminate it.

5.5  Your own purchase-order terms do not replace these terms unless we expressly agree to them in writing.

6 Prices and payment

6.1  Prices are in pounds sterling unless expressly stated otherwise. The Professional Platform, quotation or checkout will state whether prices include or exclude VAT. Applicable VAT, delivery charges and the total payable will be shown before you submit the order.

6.2  Prices may change for future orders. We will not retrospectively change an accepted order price. If we identify a pricing error before acceptance, we may reject the order or ask you to confirm the corrected price.

6.3  Full payment is due before dispatch unless we have expressly agreed written credit terms. You must be authorised to use the payment method supplied. We may suspend further supply while an amount properly due remains unpaid.

6.4  Promotions, gifts and discount codes are subject to the eligibility, exclusions, dates and stock limits stated with the offer. Unless the offer says otherwise, they cannot be combined, exchanged for cash or applied retrospectively. We may refuse fraudulent or otherwise ineligible use.

7 Delivery and ownership

7.1  Delivery options, charges, cut-off times and geographical availability are stated in our Shipping Policy and at checkout. A working day means Monday to Friday, excluding UK bank holidays. Orders received outside the stated cut-off are normally processed on the next working day.

7.2  Delivery dates are estimates unless we expressly agree a guaranteed service. If timing is essential, contact us before ordering. Tell us promptly about missing parcels or tracking problems and provide reasonable information to help us investigate.

7.3  You must provide an accurate delivery address and suitable receiving arrangements. We may charge reasonable additional delivery costs caused by an incorrect address or a failed delivery attributable to you, after explaining the charge.

7.4  For business purchases, risk of loss or damage passes on delivery to the address in your order or a location expressly nominated by you. If you arrange collection or your own carrier, risk passes when the products are handed to you or that carrier. This does not remove responsibility for a defect or breach for which we remain liable.

7.5  Ownership passes when we receive full payment for the products. Until then, keep them identifiable and properly stored and, where practicable, separate from other stock.

8 Business returns and product problems

8.1  Consumer cooling-off rights do not apply to business purchases. Non-faulty products may be returned only with our prior written authorisation. This does not remove rights relating to faulty, damaged, incorrect or misdescribed products.

8.2  An approved non-faulty return must be unused, unopened, sealed where supplied sealed, in its original packaging and in saleable condition. Return it as instructed. Any return deadline, return cost or reasonable handling or restocking charge will be agreed before the return. Do not send products back without authorisation.

8.3  Inspect deliveries promptly. Notify info@exoblanc.co.uk in writing of visible damage, shortages or incorrect products within three working days of delivery. Report a hidden defect promptly after discovering it. This notification period does not prevent a claim for a problem that could not reasonably have been identified earlier.

8.4  Provide your order number, a description of the issue and, where reasonably requested, photographs and the batch number. Retain the product and packaging for assessment unless unsafe to do so. Do not use or sell stock that may be unsafe or defective.

8.5  We may reasonably inspect or collect affected products before resolving a claim. Where we are responsible, we will provide an appropriate repair, replacement or refund in accordance with the contract and applicable law and cover reasonable return costs. Nothing here excludes rights that cannot lawfully be excluded.

8.6  Approved returns should be addressed to Exoblanc Returns, Unit 2 Near Bank Park, Near Bank, Shelley, Huddersfield, HD8 8LS, unless we give different instructions. Refunds are normally made to the original payment method unless otherwise agreed.

9 Product information and storage

9.1  We take reasonable care to describe products accurately. Packaging or appearance may vary slightly from images. We will not substitute a materially different product without your agreement. Check the current label, ingredients and instructions supplied before use or resale.

9.2  Follow the product label, instructions for use and authorised protocols for storage, handling, application, expiry and disposal. If supplied instructions and online guidance conflict, ask us for clarification before using the product. Do not use or sell expired, damaged, contaminated or improperly stored stock.

9.3  Product descriptions, education and testimonials do not guarantee a particular clinical, cosmetic or commercial outcome. Results vary. Product guidance supports, but does not replace, assessment of the individual client and appropriate professional judgement.

10 Professional products and treatment responsibilities

10.1  Products marked professional use only may be purchased and used only by appropriately trained, qualified and insured practitioners acting within their competence and the law applicable to their practice.

10.2  COS ampoules are for professional microneedling use only. They are not injectables and must not be injected. Use every product only by its authorised route and for the purpose stated in its label, instructions and authorised product documentation.

10.3  You are responsible for client consultation, suitability and contraindication assessment, informed consent, treatment selection and settings, hygiene and infection control, patch testing where required, treatment records, aftercare and appropriate management of adverse events.

10.4  Handle sterile and single-use products as instructed. Do not reuse single-use cartridges or share single-use products between clients. Follow the stated requirements for opened ampoules, aseptic handling and safe disposal.

10.5  Use devices with compatible authorised consumables and follow the instructions, maintenance requirements and relevant training. Do not modify or use damaged equipment. Any manufacturer warranty is subject to its stated terms and does not replace applicable legal rights.

10.6  Stop using a product if you suspect a safety issue. Arrange appropriate client care and notify us promptly of a suspected product-related adverse event, including relevant product and batch details. Cooperate with reasonable safety investigations and any withdrawal or recall instructions. Share identifiable client information only where necessary and lawful.

10.7  Keep purchase, stock and treatment records sufficient to trace relevant batches and contact affected clients or customers where necessary, in accordance with applicable legal and professional requirements. You must ensure staff and contractors understand these responsibilities. They do not remove Exoblanc’s own legal duties.

11 Retailing homecare products

11.1  You may sell homecare products to clients through the legitimate channels covered by your account or written stockist arrangement. Professional-only COS ampoules, devices and microneedling consumables must not be supplied to consumers as products for unqualified home treatment.

11.2  Retail products in their original packaging with labels, seals, batch details, warnings and instructions intact. Do not decant, relabel or repackage products without our written approval and compliance with applicable law. Provide accurate product information and appropriate homecare instructions.

11.3  You set your resale prices independently. Any recommended retail price or suggested promotion is optional. There is no obligation under these terms to charge a minimum resale or advertised price.

11.4  You are responsible for your own customer contracts, sales, refunds, advertising and legal obligations as a retailer. Do not make unsupported medical claims, promise guaranteed results or imply that you represent Exoblanc beyond your approved status.

11.5  An account does not grant exclusive territory or distribution rights. Any export or marketplace selling must comply with applicable law, product-registration requirements, platform rules and any separate lawful written distribution agreement. Our acceptance of an order does not confirm that a product may lawfully be sold in another country.

12 Education and marketing resources

12.1  The platform, Exoblanc branding, product images, copy, manuals, protocols and other resources are owned by or licensed to us. Access does not transfer ownership or grant permission to sell or redistribute restricted materials.

12.2  You may use professional guides internally within your approved business for their stated purpose. Paid courses and restricted learning content may have additional enrolment or licence conditions. Do not share access with unauthorised users or use our materials to deliver your own training without written permission.

12.3  Marketing assets expressly supplied for promotional use may be used to promote genuine Exoblanc products or treatments within the permission stated with the resource and our brand guidance. Do not change product claims, remove required notices or use an asset in a misleading way. Check that you are using the current version.

12.4  If we withdraw an asset for a safety, accuracy or rights issue, stop using it promptly. When your permission to use Exoblanc branding or approved-stockist status ends, remove claims of current approval. This does not prevent accurate references to genuine products that you may lawfully sell.

12.5  Access to Skin School, a webinar, product guide or certificate does not by itself confer a regulated qualification or authorise treatments outside your competence or insurance. Course eligibility, inclusions and any accreditation will be stated with the particular course.

13 Privacy and communications

13.1  We use application, qualification, account and order information as explained in our Privacy Policy. Provide only information relevant to the application or enquiry and ensure you are entitled to share personal information relating to others.

13.2  We may send necessary messages about applications, accounts, orders, safety matters and service changes. Marketing preferences are managed separately, and you may unsubscribe from marketing using the method provided. Marketing consent is not a condition of Professional account approval.

13.3  You remain responsible for protecting the personal information of your clients, employees and customers. Professional account access does not require routine uploading of client treatment records or photographs to Exoblanc.

13.4  Our store uses Shopify technology. The contract for products purchased from us is with Exoblanc UK Ltd, not Shopify. Third-party services may have their own terms and privacy information.

14 Platform availability and acceptable use

14.1  Use the platform lawfully. Do not attempt unauthorised access, share restricted downloads publicly, introduce malicious software, scrape restricted content at scale or interfere with the service or another user’s account.

14.2  We may maintain, update or temporarily suspend platform features. We do not promise uninterrupted access. Contact info@exoblanc.co.uk if an outage affects an order or access to a resource you have paid for; any separate contractual rights remain unaffected.

14.3  Links to third-party websites are provided for convenience. We do not control their content or availability.

15 Suspension and account closure

15.1  We may suspend or restrict access where reasonably necessary because eligibility cannot be verified, information is materially inaccurate, payment is overdue, or we reasonably suspect fraud, account misuse, unsafe treatment, unlawful supply or a material breach of these terms.

15.2  Where appropriate, we will explain the reason and give a reasonable opportunity to resolve it. We may act immediately to address a serious safety, security, legal or fraud risk. Tell us if you believe a decision is based on incorrect information so we can review it.

15.3  We may close an account for a serious or repeated breach, loss of eligibility, or failure to remedy a material breach after a reasonable request. You may request closure by emailing us. Closure does not cancel debts, remove accrued rights or automatically cancel accepted orders.

15.4  If we cannot lawfully or safely fulfil an accepted order, we will contact you and refund amounts paid for products we do not supply, subject to any other rights required by law. Separate partnership or paid-service termination terms continue to apply where relevant.

16 Liability for business purchases

16.1  Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title, liability for defective products that cannot lawfully be limited, or any other liability that the law does not permit us to exclude or limit.

16.2  Subject to section 16.1 and to the extent permitted by law, we are not liable for loss of profit, sales, revenue, business, anticipated savings, goodwill, reputation or data, or for indirect or consequential loss arising in connection with a business purchase.

16.3  Subject to section 16.1, our total aggregate liability arising out of or in connection with an affected business order, whether in contract, tort including negligence, or otherwise, is limited to 100% of the amount paid or payable under that order. This limit applies only to the extent it is fair, reasonable and enforceable under applicable law. It does not limit a refund expressly due under these terms.

16.4  You are responsible for your own treatment practice and retail activities. You must compensate us for reasonable, evidenced losses and third-party liabilities caused by your unlawful or unsafe treatment, injection or other unauthorised use, misleading claims, unauthorised alteration or repackaging, or infringement of intellectual-property rights. This applies only to the extent caused by your conduct and not by our breach, negligence or a defective product for which we are responsible. We must take reasonable steps to reduce any loss and consult you before settling a claim for which we seek payment from you.

17 Events outside reasonable control

17.1  Neither party is responsible for delay or failure caused by an event outside its reasonable control, provided it informs the other promptly and takes reasonable steps to reduce the effects. This does not excuse payment for products already supplied.

17.2  If such an event materially delays an accepted order, we will explain the available options. If the delay continues for more than 30 days, either party may end the unfulfilled part of that order by written notice, and we will refund payments for products not supplied.

18 Changes and other contract terms

18.1  We may update these terms for future applications, account use and orders. We will publish the revised version and notify account holders of material account changes on reasonable notice where practicable. Accepted orders remain governed by the version agreed when the order was placed, unless both parties agree otherwise or a change is required by law.

18.2  If a provision is found unlawful or unenforceable, the remaining provisions continue to apply so far as possible. A delay in enforcing a right is not a waiver of that right. A person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

18.3  Contact details and notices under these terms may be provided by email. Keep your account email address current. These terms do not prescribe how court proceedings must be served.

19 Governing law and contact

19.1  These terms and disputes arising from professional accounts and business purchases, including non-contractual disputes, are governed by the law of England and Wales. Subject to any mandatory applicable law, the courts of England and Wales have exclusive jurisdiction.

19.2  Please contact info@exoblanc.co.uk first about an account, order or complaint, giving sufficient details for us to investigate. We will seek to resolve the issue with you. This does not prevent either party from exercising its legal rights.

Page and acceptance wording

Page title: Professional Terms and Conditions

Suggested address: /pages/professional-terms-and-conditions

Required application checkbox, unticked by default:

“I confirm that I am authorised to apply for this business and have read and agree to the Professional Terms and Conditions and Website Terms and Conditions.”

Business checkout acceptance, where supported by the agreed checkout implementation:

“I am ordering for business purposes and agree to the Professional Terms and Conditions and Website Terms and Conditions.”

Link both document names to the relevant pages before submission. Keep the Privacy Policy visible near the application form. Any optional marketing opt-in must be separate and unticked; do not make it a condition of approval.

Implementation requirements

  • Record the terms version, acceptance timestamp and account or application identifier. Retain the version agreed for each order and provide a downloadable or emailed copy.

  • Obtain acceptance from migrating account holders before their first professional order under the new terms. A historical retail login is not acceptance.

  • Link one authoritative professional page from the application, professional footer and business purchasing journey. Preserve the consumer terms and routes.

  • Match VAT display, permissions and discounts to the assigned account offer, including any legacy benefits.

Confirm before publication

  • Set the effective date and verify VAT, contact and returns details. Company name, number and registered office match Companies House; VAT and returns details follow the current website.

  • Obtain UK commercial solicitor review, particularly of section 16’s liability cap and compensation, section 17’s proposed 30-day delay provision, section 19’s proposed jurisdiction and section 1.4’s precedence. Carrying over the existing cap does not establish enforceability.

  • Confirm section 4 against the final account offers: no minimum for professional access alone; separate opening-order commitments only where expressly agreed.

  • Confirm resource permissions, retailer channels, cancellation handling and device warranties. Courses, events and partnership agreements need their own relevant terms.

  • Check privacy coverage for qualification uploads, approval checks, service providers, retention and marketing. The Privacy Policy could not be retrieved during this review.

  • The retrieved public Terms of Service end at “15. Events outside our control”. Check the live page and restore any missing clauses before launch.
